Terms of Service

Last updated: July 18, 2026. These terms govern your use of Project Ares — the Ares agent applications and the Ares API Platform.

1 · The service

Project Ares provides (a) Ares, an AI agent application for personal and professional use, and (b) the Ares API Platform, a metered API that provides access to AI models. One account covers both. We manage the underlying model infrastructure; the specific vendors and systems we use are an implementation detail we may change at any time without notice, provided the service keeps working as described.

2 · Accounts & eligibility

You must be at least 18 years old and legally able to enter contracts. You are responsible for your credentials, your API keys, and everything done with them. Notify us immediately of suspected compromise; you can revoke keys and sessions yourself from the console at any time. We may refuse or terminate service where required by law, including in jurisdictions subject to comprehensive sanctions.

3 · Free trial, credits & subscriptions

• Free trial: new accounts receive trial credits valid for 30 days. Unused trial credits expire and have no cash value.
• Credits: prepaid credits (1 credit = US$0.01 of usage) do not expire but are non-refundable and non-transferable except where the law requires otherwise. Per-model rates are published at /pricing and metered exactly.
• Subscriptions: monthly plans charge a prorated fee when you subscribe mid-month and renew in full on the 1st of each month against your default payment method. Upgrades credit the unused portion of your current plan. Downgrades and cancellations take effect at the end of the period you have paid for. If a renewal payment fails, service continues through a 7-day grace period with retries; after that, the account moves to Pay as you go and your prepaid credits remain.
• Fair use: subscription allowances are subject to the rolling fair-use windows and per-plan request rates shown in the console and docs.
• Taxes: prices exclude applicable taxes unless stated; where required, tax is added at checkout.
• Pricing changes: per-model rates, plan prices, and credit pricing are subject to change at our discretion — model economics move quickly, and adjustments (up or down) let us keep passing improvements through to you. Rate changes apply prospectively only: usage is always billed at the rate published at the time of the request, and we never re-price usage you have already been billed for. Material plan-price increases are announced in advance in the console or by email, and take effect no earlier than your next renewal — you can cancel first if you disagree.

4 · Acceptable use

You may not use the service to: break the law or infringe others' rights; generate or distribute malware; attempt unauthorized access to systems, accounts, or data (including probing, scraping, or brute-forcing other accounts or keys); harass, exploit, or harm minors; generate content for fraud, spam, or deceptive impersonation; resell raw access to the platform without authorization; or interfere with the operation of the service. We may throttle, suspend, or terminate accounts engaged in abuse — automated systems flag anomalies for staff review.

5 · Your content, outputs & data

You retain whatever rights you hold in the prompts and files you submit and, to the extent permitted by law, we assign to you our interest in the model outputs generated for you. You are responsible for reviewing outputs before relying on them: AI-generated content can be wrong. Outputs are generated by artificial intelligence — where you republish them, applicable law (including EU AI Act transparency obligations) may require you to say so.

Your data stays yours, and we keep as little of it as possible:

• No training on your data. We do not use your prompts, files, or outputs to train models, and we contractually require the model infrastructure we use to honor the same commitment for API traffic.
• No content retention. API request and response bodies pass through for processing and are not stored by us afterwards. What we keep is operational telemetry — token counts, model, latency, status, and similar metering metadata — because that is what your invoice and usage analytics are built from. Playground conversations exist only in your browser session.
• You are in control. You can revoke keys, export your usage history, and delete your account — with its data — at any time from the console. See the Privacy Policy for the full picture.

6 · Third-party model providers

The models behind the platform are built by third-party AI labs, and access to them comes with obligations that flow through to you. This protects your access as much as ours — breaking these rules can get model families withdrawn for every customer. When using any model through Project Ares, you agree that you will not:

• use outputs to develop, train, improve, or fine-tune any AI model that competes with the model that produced them, or with the Project Ares platform;
• attempt to extract, reconstruct, or discover model weights, architecture, or other non-public elements of any model, including through distillation performed for that purpose;
• circumvent or attempt to circumvent a model's safety systems, rate limits, or usage policies, or misrepresent your identity or use case to gain access;
• use the service to build datasets of model outputs for resale as model-training data;
• violate the published acceptable-use or usage policies of the underlying model provider that apply to the model you are calling — where their policies are stricter than ours, the stricter rule applies to that model.

We may substitute equivalent model infrastructure, or deprecate specific models, where a provider's terms, availability, or pricing require it; when we do, the API's deprecation machinery gives you notice and a migration path.

7 · Agent actions

The Ares agent can take actions on your systems (files, browser, tools) under permission settings you control. You are responsible for the permissions you grant, the workspaces you expose, and the actions the agent performs at your direction. Review irreversible actions before approving them.

8 · Availability & changes

We aim for high availability but the service is provided "as is" and "as available". Models may be added, deprecated, and retired; deprecations carry advance notice in the API (/v1/models, deprecation headers) wherever possible. We may modify these terms; material changes will be announced in the console or by email, and continued use after the effective date is acceptance.

9 · Export controls & supported regions

Project Ares is available worldwide except where the law does not allow us to offer it. You may not use the service if you are located in, ordinarily resident in, or acting on behalf of a government of: China (including Hong Kong and Macau), Russia, Iran, North Korea, Syria, Cuba, Belarus, or the Ukrainian regions of Crimea, Donetsk, or Luhansk — or if you are on a U.S. or EU sanctions or denied-parties list. You also agree not to export, re-export, or provide access to the service into those jurisdictions, directly or indirectly (including via VPNs, resale, or shared credentials), and to comply with all export-control and sanctions laws that apply to you. We may suspend access we reasonably believe originates from or serves a restricted jurisdiction. If restrictions ease, we would genuinely love to serve these regions — this list reflects law, not preference.

10 · Disclaimers & liability

To the maximum extent permitted by law: we disclaim all implied warranties; we are not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, data, or goodwill; and our total liability for any claim is limited to the greater of US$100 or the amounts you paid us in the 12 months before the claim. Some jurisdictions do not allow these limits, so they may not fully apply to you.

11 · Indemnification

If your use of the service — including content you submit, outputs you deploy, agent actions you authorize, or your breach of these terms — leads to a third-party claim against us, you agree to defend and indemnify us against that claim and the reasonable costs (including legal fees) of dealing with it. We will notify you promptly of any such claim and let you control the defense, provided any settlement fully releases us. This section does not apply where prohibited by law, and it is not intended to reach claims caused by our own breach of these terms.

12 · Termination

You may stop using the service and delete your account at any time from Settings. We may suspend or terminate accounts for breach of these terms, non-payment, or legal necessity. On termination, API keys and sessions are revoked immediately; financial records are retained as required for bookkeeping and law.

13 · Governing law & contact
