Terms of Service

Last updated: July 18, 2026. These terms govern your use of Project Ares — the Ares agent applications and the Ares API Platform.

Template pending counsel review. This document reflects how the service actually works but has not yet been reviewed by an attorney. Do not rely on it as final until this notice is removed.

1 · The service

Project Ares provides (a) Ares, an AI agent application for personal and professional use, and (b) the Ares API Platform, a metered API that provides access to AI models. One account covers both. We manage the underlying model infrastructure; the specific vendors and systems we use are an implementation detail we may change at any time without notice, provided the service keeps working as described.

2 · Accounts & eligibility

You must be at least 18 years old and legally able to enter contracts. You are responsible for your credentials, your API keys, and everything done with them. Notify us immediately of suspected compromise; you can revoke keys and sessions yourself from the console at any time. We may refuse or terminate service where required by law, including in jurisdictions subject to comprehensive sanctions.

4 · Acceptable use

You may not use the service to: break the law or infringe others' rights; generate or distribute malware; attempt unauthorized access to systems, accounts, or data (including probing, scraping, or brute-forcing other accounts or keys); harass, exploit, or harm minors; generate content for fraud, spam, or deceptive impersonation; resell raw access to the platform without authorization; or interfere with the operation of the service. We may throttle, suspend, or terminate accounts engaged in abuse — automated systems flag anomalies for staff review.

5 · Your content, outputs & data

You retain whatever rights you hold in the prompts and files you submit and, to the extent permitted by law, we assign to you our interest in the model outputs generated for you. You are responsible for reviewing outputs before relying on them: AI-generated content can be wrong. Outputs are generated by artificial intelligence — where you republish them, applicable law (including EU AI Act transparency obligations) may require you to say so.

6 · Third-party model providers

The models behind the platform are built by third-party AI labs, and access to them comes with obligations that flow through to you. This protects your access as much as ours — breaking these rules can get model families withdrawn for every customer. When using any model through Project Ares, you agree that you will not:

We may substitute equivalent model infrastructure, or deprecate specific models, where a provider's terms, availability, or pricing require it; when we do, the API's deprecation machinery gives you notice and a migration path.

7 · Agent actions

The Ares agent can take actions on your systems (files, browser, tools) under permission settings you control. You are responsible for the permissions you grant, the workspaces you expose, and the actions the agent performs at your direction. Review irreversible actions before approving them.

8 · Availability & changes

We aim for high availability but the service is provided "as is" and "as available". Models may be added, deprecated, and retired; deprecations carry advance notice in the API (/v1/models, deprecation headers) wherever possible. We may modify these terms; material changes will be announced in the console or by email, and continued use after the effective date is acceptance.

9 · Export controls & supported regions

Project Ares is available worldwide except where the law does not allow us to offer it. You may not use the service if you are located in, ordinarily resident in, or acting on behalf of a government of: China (including Hong Kong and Macau), Russia, Iran, North Korea, Syria, Cuba, Belarus, or the Ukrainian regions of Crimea, Donetsk, or Luhansk — or if you are on a U.S. or EU sanctions or denied-parties list. You also agree not to export, re-export, or provide access to the service into those jurisdictions, directly or indirectly (including via VPNs, resale, or shared credentials), and to comply with all export-control and sanctions laws that apply to you. We may suspend access we reasonably believe originates from or serves a restricted jurisdiction. If restrictions ease, we would genuinely love to serve these regions — this list reflects law, not preference.

10 · Disclaimers & liability

To the maximum extent permitted by law: we disclaim all implied warranties; we are not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, data, or goodwill; and our total liability for any claim is limited to the greater of US$100 or the amounts you paid us in the 12 months before the claim. Some jurisdictions do not allow these limits, so they may not fully apply to you.

11 · Indemnification

If your use of the service — including content you submit, outputs you deploy, agent actions you authorize, or your breach of these terms — leads to a third-party claim against us, you agree to defend and indemnify us against that claim and the reasonable costs (including legal fees) of dealing with it. We will notify you promptly of any such claim and let you control the defense, provided any settlement fully releases us. This section does not apply where prohibited by law, and it is not intended to reach claims caused by our own breach of these terms.

12 · Termination

You may stop using the service and delete your account at any time from Settings. We may suspend or terminate accounts for breach of these terms, non-payment, or legal necessity. On termination, API keys and sessions are revoked immediately; financial records are retained as required for bookkeeping and law.

13 · Governing law & contact
